Khaitan & Co advised Texmaco Rail & Engineering Limited on joint venture with Rail Vikas Nigam Limited

The leading law firm in India, Khaitan & Co advised Texmaco Rail & Engineering Limited (“TREL”) in relation to a joint venture arrangement with Rail Vikas Nigam Limited (“RVNL”), with TREL and RVNL holding a 49:51 stake respectively. The joint venture has been established to boost India’s rail manufacturing capabilities for the development of next-generation rolling stock, including freight, locomotive, passenger, and metro systems, while also strengthening India’s footprint in the global railway infrastructure market.

TREL is engaged in the design, engineering, manufacturing, and sale of railway wagons, coaches, locomotives (along with their components), and the execution of railway infrastructure projects.

RVNL is a premier central public sector undertaking under the administrative control of the Government of India and operates as an engineering and project execution company focused on the development of railway infrastructure across India.

Khaitan & Co acted as legal counsel to TREL and advised on the structuring of the transaction as well as the drafting, negotiation, finalisation, and execution of the definitive agreements relating to the joint venture.
