Herbert Smith Freehills Kramer (HSF Kramer) advised Ampol on its proposed acquisition of EG Australia under a share purchase agreement, valued at approximately A$1.1 billion.
As part of the transaction, Ampol will acquire around 500 Ampol-branded company-owned and operated sites. The acquisition is expected to accelerate Ampol’s retail growth strategy through the expansion of the Ampol Foodary brand and the U-GO branded offering.
The consideration comprises approximately A$800 million in cash and Ampol shares valued at A$250 million at the time of signing, subject to escrow arrangements. The transaction remains subject to certain conditions, including clearance from the Australian Competition and Consumer Commission (ACCC).
The HSF Kramer team was led by Andrew Rich (Partner), Amelia Morgan (Partner), Linda Evans (Partner), and Tess Mierendorff (Partner), with support from Patrick Clark (Partner), Niresha Mudalige (Partner), and senior associates Mia Beagley, Simone Gould, Nini Lu, Carolyn Harris, and Jordana Cawood, along with Daniel Johnson (Executive Counsel).
The transaction is targeted for completion in mid-2026.
