DSK Legal advised Climateforce Technologies on strategic investment led by Transition Venture Capital Fund I

The full-service Indian law firm, DSK Legal assisted and advised Climateforce Technologies Private Limited (“Company”) and its founder in connection with an investment round led by Transition Venture Capital Fund I, alongside other participating angel investors. The transaction was structured as a mix of primary and secondary investment.

The Company operates an AI-enabled risk management platform (‘GreenFi’) for ESG compliance, leveraging AI agents and large language models to automate ESG due diligence, reporting, and sustainability performance tracking across customers, portfolios, transactions, and suppliers. The proceeds from the investment round will be used to scale the Company’s global distribution network, strengthen AI product innovations, and expand its presence across key markets including California, Europe, Southeast Asia, and the Middle East.

DSK Legal’s role included reviewing, negotiating, and finalising transaction documents—including the share subscription agreement, shareholders agreement, share purchase agreement, and founder’s employment agreement—and providing support in relation to closing the transaction.

The DSK Legal team representing the Company comprised Chirag Jain (Associate Partner), Kunal Garg (Senior Associate), and Snigdha Prakash (Senior Associate). Rishi Anand (Partner) acted as the lead engagement partner and provided strategic inputs on the transaction.
