The leading law firm in India, Lakshmikumaran & Sridharan Attorneys (“LKS”) advised Inox Clean Energy Limited (“Inox”), part of the INOXGFL Group, on its acquisition of a 1,337 MW renewable energy platform from Macquarie Corporate Holdings Pty Limited (“Macquarie”) and other shareholders. The acquired platform comprises a diversified portfolio of wind, solar, and hybrid projects, with approximately 800 MW currently operational across multiple states in India.
LKS acted as legal counsel to Inox and advised on the transaction structure, cross-border regulatory aspects, competition law, tax implications, and the negotiation of transaction documents. The LKS team also coordinated and worked alongside Standard Chartered Bank and Latham & Watkins LLP to align all parties on the transaction.
The transaction LKS team, which led strategic negotiations and overall transaction management, comprised Kunal Arora (Partner), Siddharth Sawhney (Partner), Anupam Misra (Associate Partner), Mitushi Garg (Principal Associate) and Ria Mehta (Associate).
The LKS tax aspects of the transaction were advised upon by a team comprising Karanjot Singh Khurana (Partner), Harshit Khurana (Associate Partner), Giridhar Vasudevan (Principal Associate) and Rishabh Bhatia (Senior Associate).
The LKS competition law aspects were advised by Neelambera Sandeepan (Partner), with support from Charms Mathews (Senior Associate) and Rohan Zaveri (Associate).
Macquarie and the other selling shareholders were represented by Latham & Watkins LLP, Singapore.
This acquisition represents a significant step in Inox’s strategy to strengthen its presence in India’s renewable energy sector and accelerates its growth trajectory, positioning the company to achieve its targeted 3 GW capacity by FY26.
