Shardul Amarchand Mangaldas advised Billdesk on proposed acquisition of Worldline India’s payment businesses

The leading law firm in India, Shardul Amarchand Mangaldas & Co. (SAM) acted as legal counsel to IndiaIdeas.com Limited (Billdesk) in connection with its proposed acquisition of 100% equity stake in Worldline ePayments India Private Limited and Worldline India Private Limited from their existing shareholders. The closing of the transaction is subject to the completion of conditions precedent as set out in the share purchase agreement.

The transaction will strengthen Billdesk’s end-to-end digital payments capabilities and expand its merchant acquiring and enterprise payment solutions footprint in India. SAM advised Billdesk on all aspects of the transaction, including legal due diligence on the target companies, structuring and negotiating transaction documentation, W&I insurance policy matters, and providing legal and regulatory advice in relation to the acquisition.
