SNG & Partners advised UGRO Capital Limited, a DataTech-focused Non-Banking Financial Company (NBFC) specializing in MSME lending, on its capital raise aggregating to ₹1,315 crore through a rights issue and a preferential allotment.
The transaction included a ₹400 crore rights issue and a ₹915 crore preferential issue, forming a core part of UGRO’s capital augmentation strategy to strengthen its balance sheet, improve liquidity, meet capital adequacy requirements, and support the company’s future growth in secured lending segments. The fundraise also helps diversify UGRO’s investor base and positions it for long-term expansion across India’s MSME lending market.
SNG & Partners provided end-to-end legal advisory across all stages of the capital raise. The firm advised UGRO on drafting and finalisation of the Letter of Offer, securing board and shareholder approvals, ensuring SEBI and stock exchange compliance, and guiding on structuring and procedural matters relevant to the transaction.
