The leading law firm in India, Trilegal is advising CA Sardo Investments, an affiliate of The Carlyle Group (NASDAQ: CG), in connection with its proposed investment of INR 2,100 crore (approximately USD 230 million) in Nido Home Finance Limited, the housing finance arm of Edelweiss Group.
The transaction involves the acquisition of a strategic majority stake in Nido through a combination of secondary purchase of equity shares from existing shareholders – Edelweiss Financial Services Limited, Edelweiss Rural & Corporate Services Limited, and Edel Finance Company Limited – along with a primary subscription to equity shares and warrants of Nido.
The investment is aimed at strengthening Nido’s growth trajectory by infusing fresh capital and operational expertise to expand access to affordable housing finance, particularly in rural and semi-urban markets across India. The transaction underscores the growing importance of housing finance as a key pillar of India’s economic development, driven by strong structural demand, supportive policy initiatives, and a rapidly formalising credit ecosystem.
For Edelweiss, the partnership aligns with its broader objective of unlocking value across its businesses while reinforcing Nido’s long-term growth momentum. For Carlyle, the transaction reflects its continued commitment to India’s high-growth housing finance sector and builds on more than two decades of investment experience in Indian financial services, including prior investments in platforms such as PNB Housing Finance Limited and Housing Development Finance Corporation.
