Clifford Chance Advised EQT on Entry into Exclusive Negotiations to Acquire Majority Stake in Waga Energy
Clifford Chance advised EQT, through its EQT Transition Infrastructure strategy, on entering into exclusive negotiations with the founders of Waga Energy and select historical shareholders—including Starquest Capital, Tertium, Noria, SWEN Impact Fund for Transition, and ALIAD—for the acquisition of a majority stake in Waga Energy.
The transaction, subject to customary regulatory approvals, would trigger a mandatory cash tender offer for the remaining shares of Waga Energy. If successful, EQT plans to implement a squeeze-out of the company.
This marks the third investment under the EQT Transition Infrastructure strategy and is aligned with EQT’s mission to scale businesses contributing to a resource-efficient and circular economy. Waga Energy, a French leader in the production of renewable natural gas (RNG) from landfill gas using proprietary technology, plays a critical role in reducing methane emissions by substituting fossil natural gas.
