Clifford Chance advised Tata Motors on €3.8 billion voluntary tender offer for Iveco Group

Global law firm Clifford Chance has advised Tata Motors, a global automotive leader, on the envisaged €3.8 billion recommended voluntary tender offer for Iveco Group, a European leader in commercial vehicles and mobility. The completion of the offer is conditional upon the separation of Iveco Group’s defence business.

The offer aims to combine two businesses with highly complementary product portfolios and capabilities, with minimal overlap across industrial and geographic footprints. The merger would create a diversified global entity with annual sales of approximately 540,000 units and combined revenues of around €22 billion, distributed across Europe (50%), India (35%), and the Americas (15%), alongside strong positions in emerging markets across Asia and Africa.

This transaction further establishes Clifford Chance as a leading adviser on complex, high-value, and multijurisdictional deals, particularly within the Industrials, Transport & Mobility sector. It also represents a strategic milestone for the firm’s India practice, underscoring its role as a trusted adviser in cross-border mandates involving Indian clients and reinforcing its commitment to supporting India’s global dealmaking ambitions.
