The global law firm, Hogan Lovells advised Acea S.p.A., a leading Italian industrial group specialising in the management and development of networks and services across water, energy, and environmental sectors, on the sale of its entire holding in Acea Energia S.p.A. to Eni Plenitude S.p.A. Società Benefit, a company controlled by Eni integrating electricity generation from renewable sources, energy sales, and energy solutions. The nominal transaction value is approximately €600 million, with an additional potential price component of up to €100 million based on performance objectives as of 30 June 2027.
As a result of this acquisition, Eni Plenitude will add over 1.4 million retail customers in Italy. The transaction is expected to be finalised by June 2026, subject to approval by relevant Antitrust authorities.
