Sidley Advised Underwriters on Brown & Brown’s US$8.6 Billion Senior Notes and Common Equity Offerings

Sidley represented the lead underwriters, J.P. Morgan and BofA Securities, along with the rest of the underwriting syndicates, in connection with Brown & Brown, Inc.’s senior notes and common equity offerings, including the concurrent exercise of the green shoe option. The proceeds will be used to fund Brown & Brown’s acquisition of RSC TopCo, Inc., the parent holding company of rival Accession Risk Management Group.

The transaction is valued at US$8.6 billion, making it a significant financing event in the insurance and risk management space. This capital raise positions Brown & Brown for enhanced market consolidation and expansion.
