Skadden advised TTAM Research Institute on acquisition of 23andMe’s core business for $305 million

Global law firm Skadden, Arps, Slate, Meagher & Flom LLP advised TTAM Research Institute, a nonprofit public benefit corporation based in California, on its definitive agreement to acquire substantially all the assets of 23andMe Holding Co., including its Personal Genome Service and Research Services business lines, and the Lemonaid Health business, for a total purchase price of $305 million.

TTAM Research Institute is led by Anne Wojcicki, co-founder and former CEO of 23andMe. The agreement follows a final round of bidding conducted in accordance with procedures approved by the U.S. Bankruptcy Court for the Eastern District of Missouri.

The Skadden team advising TTAM Research Institute was led by Joseph O. Larkin (Partner, Practice Leader - Delaware Litigation), Ron E. Meisler (Partner), Evan A. Hill (Partner), Richard H. West (Partner, Mergers & Acquisitions) and Moshe Spinowitz (Partner, Tax).

This acquisition enables TTAM to continue the legacy of 23andMe in consumer genetics and personalized healthcare, while sustaining research and innovation through a nonprofit structure.
