Zulficar & Partners advised Orange Egypt on US$ 80 million syndicated facility for 5G license acquisition

Zulficar & Partners (“Z&P”) advised Orange Egypt for Telecommunications (“Orange Egypt”) on the successful closing of a syndicated medium term facility agreement of around US$ 80 million to finance the acquisition of its 5G license from the National Telecommunications Regulatory Authority. The facility was financed by EBRD, Banque Misr, and Banque Misr UAE Dubai Branch.

The firm advised Orange Egypt alongside Addleshaw Goddard Middle East as lenders’ international legal counsel, and Baker McKenzie Cairo - Helmy, Hamza & Partners as lenders’ Egyptian law legal counsel. The transaction highlights international confidence in Egypt’s economy, and the network upgrade financed by the facility is expected to reduce CO₂ emissions by over 1.7 million tonnes annually. It will further strengthen Egypt’s digital infrastructure, enhance services in sectors such as education, healthcare, and smart cities, and drive the growth of Egypt’s digital economy.

The Z&P team was led by Tamima Yehia (Counsel, Banking and Finance), with support from Hana El Beltagi (Associate, Banking and Finance).
