Morgan Lewis Advised Nebius on Public Offering of Class A Shares and Concurrent Private Offering of Convertible Senior Notes, with Aggregate Gross Proceeds of Approximately $4.2 Billion
Morgan Lewis represented leading AI infrastructure company Nebius Group N.V. in relation to its public offering of $1 billion of the company’s Class A ordinary shares and its concurrent private offering of approximately $3.2 billion of convertible senior notes, in two series due 2030 and 2032 of equal principal amounts, made pursuant to Rule 144A under the Securities Act.
