Morgan Lewis Advised Transcontinental Inc. on Agreement to Sell its Packaging Business

Morgan Lewis is advised Transcontinental Inc.—a North American leader in flexible packaging, a Canadian retail marketing services provider, Canada’s largest printer, and the Canadian leader in French-language educational publishing—in connection with the pending sale of subsidiaries which carry on Transcontinental’s Packaging Sector business to global flexible packaging company ProAmpac. The transaction will result in the divestiture of Transcontinental’s entire interest in its Packaging Sector.

The aggregate purchase price payable to Transcontinental is approximately $2.10 billion Canadian dollars, subject to customary adjustments for debt and debt-like items, cash, and net working capital. The transaction is subject to shareholder approval, regulatory approvals, and other customary conditions.
