Taylor Wessing advised Voltatron AG (ISIN DE000A2E4LE9), listed on the Regulated Market (Prime Standard) of Deutsche Börse AG, Frankfurt am Main, on the acquisition of all shares in Komitec Electronics GmbH (Komitec). The consideration comprised new shares issued through a capital increase by way of contributions in kind, along with a cash component payable to the selling shareholders. The acquisition forms part of Voltatron’s ongoing buy-and-build strategy aimed at positioning itself among the top 10 EMS providers in Germany.
Voltatron AG is a provider of innovative technology solutions for industrial lithium-ion battery systems, energy storage devices, and advanced electronic components. Through its specialized subsidiaries, the company develops, manufactures, and distributes complex electronic parts, assemblies, and systems used across industrial measurement and control technology, IoT and automation, professional event technology (lighting and sound), and medical technology.
Komitec Electronics GmbH is a well-established provider of electronic manufacturing services (EMS) catering to a wide range of industrial applications. The company employs around 100 people and generated revenues of approximately €17.5 million (HGB) in FY2024. Komitec operates a state-of- the-art electronics production facility spanning over 4,000 square metres in Zwönitz (Saxony), located in close proximity to Voltatron’s subsidiary EKM Elektronik GmbH, and also maintains a presence in Bulgaria. Following the acquisition, Voltatron has more than doubled its production capacity.
The transaction is aligned with Voltatron’s M&A growth strategy and represents an expansion of its existing value chain, which has primarily focused on development and production.
