The Ministry of Corporate Affairs has notified vide its notification dt. 21st February 2019 whereby Companies specifically incorporated on or before 31st December 2017 shall have to file E-form Active i.e., Form INC 22A bearing Active Company Tagging Identities and Verification. The said notification will be effective from 25th February 2019 and the Companies specified therein, are required to file the said form by 25th April 2019. The notification made an exception to certain companies from filing the Form such as a) Struck off Companies b) Under the process of striking off companies c) Under Amalgamation companies d) Under Liquidation Companies e) Dissolved Companies.
Consequences of Late filing/Non- filing after 25th April 2019 will attract a penalty of Rs. 10,000/-. Further the Company will be marked ‘ACTIVE non-compliant’ in the MCA records. Additionally, such a Company will also be barred from filing other e-forms i.e., Form SH-7, PAS-3, DIR-12, INC-22, INC-28.
