Cube Highways advised on Western UP Tollway acquisition


Shardul Amarchand Mangaldas & Co (SAM & Co), an India based, giant service law firm acted as the legal advisor to Cube Highways and Infrastructure Pte Limited in its acquisition of Western UP Tollway Limited, worth INR 575 Crores. The deal is anticipated to end by March 2016.

Cube Highways and Infrastructure Pte Limited, is an investment platform funded by ISquared Capital (a global investment fund) and IFC (the private sector investment arm of the World Bank).

Mr. Jatin Aneja, Partner, Ms. Anubhuti Agarwal, former-SAM & Co Partner, Mr. Siddhartha Sen, Principal Associate, Mr. Varun Nair, Senior Associate and Mr. Dhrupad Pant, Associate, headed the team of SAM & Co.

The team was involved in all legal aspects of the deal consisting structuring, drafting, negotiating and finalization of the transaction documents, and assisting in completion of closing related formalities.

As a part of the transaction, Cube Highways and Infrastructure Pte Limited agreed to take over 100% stake in Western UP Tollway Limited from NCC Limited, NCC Infrastructure Holding Limited, Gayatri Projects Limited and Gayatri Infra Ventures Limited (collectively the "Sellers").

Cube Highways and Infrastructure Pte Limited, NCC Limited, NCC Infrastructure Holding Limited, Gayatri Projects Limited, Gayatri Infra Ventures Limited; and Western UP Tollway Limited were the parties involved in the transaction.
