Cyril Amarchand Mangaldas Advised Lati Industria Termoplastici S.p.A.

Cyril Amarchand Mangaldas advised Lati Industria Termoplastici S.p.A. (“LATI”), a leading European manufacturer of engineering thermoplastics, on a composite transaction along with HEUSSEN Studio Legale e Tributario.

The transaction included:

(i) The acquisition of the engineering plastic compounds division of Loxim Industries Limited (“Loxim”) by LATI through Lati-Loxim Thermoplastics Private Limited, a joint venture company established by LATI (holding 51%) and the key promoters of Loxim (holding 49%) (“JVC”), by way of a business transfer on a slump sale basis; and

(ii) LATI’s investment in the JVC to fund the acquisition of Loxim’s engineering thermoplastics division.

The transaction was signed on March 30, 2025, and closed on June 12, 2025.
