DSK Legal advised Amandeep Healthcare on stake sale and strategic partnership with Ujala Cygnus
DSK Legal advised Amandeep Healthcare Private Limited (AHPL) and its promoters Dr. Amandeep Kaur, Dr. Avtar Singh, and Dr. Shahbaz Singh on the proposed sale of a significant stake to Cygnus Medicare Private Limited (Ujala Cygnus) and the establishment of a strategic partnership between AHPL and Ujala Cygnus.
Ujala Cygnus, majority-owned by General Atlantic, operates 22 hospitals across 16 cities in Delhi and tier 2/tier 3 cities in Haryana, Uttar Pradesh, Uttarakhand, and Jammu & Kashmir. AHPL currently operates five hospitals in Amritsar, Pathankot, Firozpur, and Srinagar.
The transaction involved:
- Drafting, reviewing, negotiating, and finalising key transaction documents including the Share Subscription and Purchase Agreement, Shareholders Agreement, Consultancy Agreements, and Employment Agreements;
- Advising on restructuring documents such as the Business Transfer Agreement, Interest Purchase Agreements, and Restated Limited Liability Partnership Agreements; and
- Assisting with conditions precedent and the successful completion of the transaction.
