The leading law firm in India, DSK Legal advised Eternis Fine Chemicals Limited in relation to its strategic joint venture with SO.F.I.A Cosmétiques, France, aimed at bridging ingredient innovation with finished product execution, enabling a faster and more integrated path to market in the beauty segment.
Eternis Fine Chemicals Limited, a wholly owned business of the Mariwala family, operates in the fragrance and flavour industry and has multiple manufacturing facilities across Maharashtra, as well as in the United Kingdom, Italy, and Israel. SO.F.I.A Cosmétiques is a France-based, family-owned company specialising in eco-responsible cosmetic formulation and manufacturing, with a presence in over 50 countries.
DSK Legal acted as lead transaction counsel for Eternis and advised on:
- (a) Structuring of the transaction;
- (b) Conducting due diligence of SO.F.I.A and its group companies;
- (c) Drafting, negotiating and finalising transaction documents, including the binding offer, share purchase agreement and shareholders’ agreement; and
- (d) Providing closing assistance for the transaction.
Addleshaw Goddard (Europe) LLP acted as French local counsel, while SO.F.I.A Cosmétiques and its shareholders were advised by Ama Partners as financial advisor and Squair AARPI as legal advisor.
