DSK Legal advised Horiba India Private Limited on 100% acquisition of Pristine Deeptech Private Limited
The leading law firm in India, DSK Legal assisted and advised Horiba India Private Limited (HIPL), a subsidiary of Horiba Limited, Japan, in relation to its 100% acquisition of Pristine Deeptech Private Limited (formerly known as Pristine Diamonds Private Limited).
HIPL is engaged in the business of delivering advanced analytical and measurement instruments across the bio and healthcare, automotive, semiconductor, energy and environment, and scientific sectors. With a strong presence in New Delhi and offices across major Indian cities including Pune, Bengaluru, Chennai, Kolkata, Ahmedabad, Haridwar, and Nagpur, HIPL supports industries, research institutions, and laboratories with cutting-edge solutions backed by global innovation and local expertise.
Pristine Deeptech Private Limited is engaged in the manufacturing of advanced MPCVD reactors with preloaded recipes designed to grow high-quality single crystal diamonds.
The acquisition strengthens HIPL’s semiconductor value chain, given Horiba’s global prominence for high-precision instruments used in chip manufacturing. By integrating diamond research and vacuum technology capabilities from Pristine Deeptech, HIPL will be able to develop new tools tailored for next-generation chip designs using advanced materials. The transaction also aligns with India’s governmental push toward designing and building advanced technology solutions domestically.
DSK Legal provided end-to-end legal support to HIPL, including advising on the overall transaction structure, conducting legal due diligence on Pristine Deeptech, drafting and negotiating transaction documents such as the Share Purchase Agreement, Escrow Agreement, Employment Agreements and other ancillary documents, assisting with fulfillment of conditions precedent, facilitating transaction closing, and advising on post-closing actions.
