DSK Legal advised Hunger Inc Hospitality Private Limited on private equity funding led by Lighthouse India Fund IV AIF and DSG Consumer Partners IV
The Leading Law firm in India, DSK Legal assisted and advised Hunger Inc Hospitality Private Limited (“Hunger Inc”) and its promoters, Mr. Sameer Seth and Mr. Yash Bhanage, in connection with a private equity funding round led by Lighthouse India Fund IV AIF (“LIF”) and DSG Consumer Partners IV (Singapore) (“DSG”). The fundraise was structured as a mix of primary investment in Hunger Inc and secondary share transfers from existing shareholders, including Godrej Group (Anamudi Ventures).
Hunger Inc operates cafes, restaurants, and retail stores under various brand names, including Bombay Sweet Shop, Veronica's, Papa's, and the Bombay Canteen.
DSK Legal’s role included:
i) Drafting, reviewing, negotiating, and finalising transaction documents, including:
- Share purchase and share subscription agreements (SSPA) executed in relation to the investments and acquisitions of shares by LIF and DSG.
- Share purchase agreements for minority shareholder exits.
- Disclosure letters for the proposed transaction.
- Shareholders’ agreements and deeds of adherence executed with minority shareholders.
ii) Advising and assisting on legal matters concerning the transaction, including execution and closing of the transaction documents.
The DSK Legal team representing Hunger Inc was led by Jayesh Kothari (Partner), and comprised Rajlaxmi Kale (Principal Associate) and Aasil Singh (Associate)
Total deal value: USD 25 million
LIF was represented by Khaitan & Co (Mumbai office), DSG was represented by Lexygen Partners (Bangalore), and Anamudi Ventures was represented by its internal legal team.
