DSK Legal advised Sapiens (UK) Limited on the acquisition of Coforge AdvantageGo Limited

DSK Legal advised and assisted Sapiens (UK) Limited, an affiliate of Sapiens International Corporation (NV) ("Sapiens"), in connection with its acquisition of 100% shareholding in Coforge AdvantageGo Limited ("Target") from Coforge UK Limited, a wholly owned subsidiary of Coforge Limited.

As part of the transaction, DSK Legal advised Sapiens on India-related aspects, specifically in relation to the transfer of employees and assets from Coforge Limited to Sapiens’ Indian entity.

The scope of work undertaken by DSK Legal included reviewing, revising, amending, and finalizing the requisite agreements pertaining to the transfer of assets and employees; assisting with the execution of the transaction documents pertaining to the Indian leg of the transaction; and providing related legal advisory services.

The transaction value was GBP 43 million (USD 57,244,610).

The transaction relating to the transfer of assets was handled by Sharath Chandrasekhar (Partner), together with Arvind Karunakaran (Associate Partner), Srinandini Kar (Associate), and Devraj Sood (Associate). Meitar, a leading law firm headquartered in Israel, acted as the lead counsel to Sapiens in connection with the transaction.
