DSK Legal advised Triology Solutions Private Limited on sale of ‘Muuchstac’ business to Godrej Consumer Products Limited
The full-service Indian law firm, DSK Legal assisted and advised Triology Solutions Private Limited (“TSPL”) and its promoters in connection with the transfer and sale of TSPL’s business of manufacturing, developing, designing, marketing, distribution, sale, retail, and trading of men’s grooming and skin care products under the brand name ‘Muuchstac’ to Godrej Consumer Products Limited (“GCPL”), by way of a slump sale on a going concern basis.
The brand ‘Muuchstac’ is one of India’s fastest-growing men’s grooming brands, with a strong leadership position in the men’s facewash segment. This acquisition marks a strategic step in GCPL’s journey to strengthen its Personal Care portfolio and expand its footprint in high-growth, high-margin categories. The transaction was valued at INR 449 crores, with payment made in two tranches.
DSK Legal’s scope of work included reviewing, revising, negotiating, and finalising the business transfer agreement (BTA) and other transaction documents, including the promoter consultancy agreement, distribution agreement, intellectual property assignment agreement, and other ancillary agreements under the BTA. The firm also assisted in achieving closing of the transaction.
The DSK Legal team advising TSPL comprised Hemang Parekh (Partner), Mayank Mehta (Partner), Aishwarya Kapoor (Principal Associate), Rishita Mallareddy (Associate), and Aasil Singh (Associate). Anand Rathi acted as the exclusive transaction advisor for TSPL, while Khaitan & Co acted as legal counsel to GCPL.
