DSK Legal advised TruAlt Bioenergy Limited on its joint venture with Sumitomo Corporation
The leading law firm in India, DSK Legal advised TruAlt Bioenergy Limited (“TruAlt”) in relation to its joint venture with Sumitomo Corporation, Japan (“Sumitomo”) in the joint venture company TruAlt Gas Private Limited (“JV”), which will now be renamed as TruAlt Sumi Gas Private Limited (“Transaction”). The JV will set up 16 compressed biogas (CBG) plants in a phased manner across India, with operations scheduled to begin in 2026.
Beyond CBG, the collaboration will also explore bioethanol expansion and Sustainable Aviation Fuel (SAF) production, advancing TruAlt’s vision of a Farm-to-Fuel-to-Flight circular bioeconomy and reinforcing India’s path toward energy independence and net-zero ambitions.
DSK Legal’s scope of work included drafting, reviewing, revising, negotiating, and finalizing:
- (i) Term Sheet
- (ii) Share Purchase Agreement
- (iii) Joint Venture Agreement
The firm will also assist in the closing of the Transaction as per the timelines stated in the transaction documents.
The DSK Legal team was led by Sharath Chandrasekhar (Partner), with support from Aravind Karunakaran (Associate Partner), Srinandini Kar (Associate), and Arjun Malik (Trainee Associate). ZADN & Associates acted as tax advisors for TruAlt, and Talwar Thakore & Associates acted as legal counsel for Sumitomo.
