DSK Legal represented Appcino and its Promoter Group in its acquisition by Xebia India
DSK Legal represented Appcino and its Promoter Group in its acquisition by Xebia India
DSK Legal represented and advised Appcino Technologies Private Limited (“Company”) and its Promoter Group in relation to the sale and purchase of the Promoter Group’s equity shares culminating to 100% acquisition of the Company by Xebia India Holding B.V. (“Acquirer”), based in the Netherlands.
The Company is a software consulting and development company engaged in the business of using the Appian and Salesforce platforms to offer IT services as well as a set of reusable functionalities, accelerators, and ready to use solutions.
DSK Legal assisted the Company and the Promoter Group in structuring, negotiating, and finalizing the Indian leg of the transaction which pertained to the acquisition of the Company, as well as the international leg of the transaction which pertained to the subscription of securities by the Promoter Group of [Xebia Topco B.V.] i.e., the parent company of the Acquirer, thus, resulting in the complete assimilation of the Company and the Promoter Group with the Xebia Group.
Notification of the new regime governing overseas direct investment served as a key consideration while structuring and advising on the transaction.
