Khaitan & Co advised Brookfield Asset Management on the sale of Arliga Ecoworld Business Parks Private Limited to Brookfield India REIT
The leading law firm in India, Khaitan & Co advised Brookfield Asset Management on the sale of Arliga Ecoworld Business Parks Private Limited to Brookfield India REIT for USD 1.5 billion, marking the largest transaction involving a Real Estate Investment Trust in India to date.
The firm assisted with, inter alia, the following aspects:
- (a) Restructuring and filing of the scheme of arrangement for the transfer of the Ecoworld SPV to Arliga Ecoworld Business Parks Private Limited;
- (b) Conducting legal due diligence on Arliga Ecoworld Business Parks Private Limited and the demerged undertaking (i.e., Ecoworld and Ecoworld 4D);
- (c) Negotiation and finalisation of the transaction documents.
