Khaitan & Co advised 360 ONE WAM Limited on exclusive strategic collaboration with UBS
Khaitan & Co advised 360 ONE WAM Limited in relation to:
(i) an exclusive strategic collaboration between 360 ONE WAM and UBS on wealth management services across India and international markets, combining 360 ONE WAM's local knowledge with UBS's global and regional capabilities;
(ii) the transfer of UBS’s wealth management business in India to subsidiaries of 360 ONE WAM, subject to regulatory approvals; and
(iii) the issuance of share warrants equivalent to a 4.95% stake in 360 ONE WAM to UBS AG through preferential allotment.
This collaboration enables clients of both firms to access a comprehensive suite of onshore and offshore wealth management solutions.
The Khaitan & Co team advising on the transaction was led by Niren Patel (Partner), Abhishek Dadoo (Partner), and Vidushi Gupta (Partner), with support from Jayantika Khanna (Principal Associate), Param Gupta (Senior Associate), Akshaya Saksena (Senior Associate), Shriya Kamat (Senior Associate), Gaurang Mansinghka (Senior Associate), Niyati Karia (Associate), and Shrishti Mishra (Associate).

On financing aspects, the team included Kumar Saurabh Singh (Partner), Rahul Chakraborti (Partner), Mudit Jain (Associate), Niyati Pinkesh Mehta (Associate), and Prashamsha Tulachan (Associate).
On tax aspects, the team included Vinita Krishnan (Executive Director) and Sneh Shah (Partner).

On dispute resolution, the team was led by Ravitej Chilumuri (Partner).
Khaitan & Co advised on all aspects of the transaction including regulatory structuring, legal due diligence of UBS’s India wealth management business, drafting and negotiation of key transaction documents (business transfer agreements, assignment and transfer agreement, securities subscription agreement, and disclosure letters), and compliance with SEBI, RBI, corporate, listed company, and secretarial regulations.
