Khaitan & Co advised Alkem MedTech on the acquisition of 100% shareholding in Bombay Ortho Industries
Khaitan & Co advised Alkem MedTech Private Limited, a wholly owned subsidiary of Alkem Laboratories Limited, on its acquisition of 100% of the shareholding of Bombay Ortho Industries Private Limited. This transaction was structured as a share purchase, with a subscription to equity shares of Bombay Ortho as a post-closing action, for a total consideration of INR 147 crore.
Khaitan & Co advised Alkem MedTech on all aspects of the transaction, including structuring, conducting legal due diligence, drafting and reviewing transaction documents, and finalising the post-closing arrangements.
The Khaitan & Co team was led by Promode Murugavelu (Partner), with support from Kayal Manivannan (Principal Associate), Navia Ninan (Senior Associate), and Shruthi Saravanan (Associate). The team was further supported by specialists from various practices: Manisha Shroff, Mayank Chaturvedi, and Sriram Madhav Kommu (Debt and Security); Shailendra Bhandare and Vaishali Adhikari (Intellectual Property); Mudit Shah, Sudheer Madamaiah, Harish Bojappa Kugunavar, and Vidhi Mahesh Patel (Real Estate); and Anshuman Sakle and Soham Banerjee (Competition Law).
