Khaitan & Co Advised Citykart Ventures Private Limited And Its Promoters On Series B Funding Round Of Approximately INR 538 Crores
Khaitan & Co advised Citykart Ventures Private Limited and its promoters in relation to the Series B round of funding of approximately INR 538 crores raised from NewQuest Asia Fund V (Singapore) Pte. Ltd. and A91 Emerging Funds II LLP (collectively, the “Investors”). The transaction involved a primary issuance of securities by Citykart to the Investors, as well as a secondary purchase of securities by the Investors from Citykart’s promoters and existing Series A investors.
The Firm’s role included preparation, negotiation, and finalization of the share subscription and purchase agreement, share purchase agreement, shareholders’ agreement, and closing of the transaction.
The Khaitan & Co core team advising on the transaction comprised Bharat Anand (Partner), Pashupati Nath (Partner), Abhiroop De (Principal Associate), Siddhartha Das (Senior Associate), and Swetank Neelabh (Associate), with support on tax aspects from Shaily Gupta (Partner) and Bharat Jain (Principal Associate), and competition law advice from Pranjal Prateek (Partner) and Alisha Mehra (Principal Associate).
