Khaitan & Co advised Sasken Technologies Limited on Acquisition of 100% of BORQS International Holding Corp and its Subsidiaries
Khaitan & Co advised Sasken Technologies Limited ("STL") in relation to the acquisition of 100% of BORQS International Holding Corp and its subsidiaries, including BORQS Technologies India Private Limited (formerly known as BORQS Software Solutions Private Limited). The transaction, executed through STL's wholly owned subsidiary Sasken Design Solutions Pte. Ltd, was valued at approximately USD 40 million (INR 338 crore).
This acquisition enables Sasken to support customers in designing, developing, and commercializing connected devices, spanning mobile phones, tablets, smartwatches, and various IoT products. It encompasses ideation, IP development, software and product realization, and hardware supply chain management.
The Khaitan & Co team was led by Devidas Banerji (Partner) and Shourya Sengupta (Partner), with support from Arindam Bhattacharjee (Principal Associate), Sruti Baid (Principal Associate), Shramana Dwibedi (Senior Associate), Joysurjo Roy (Associate), Sushmit Mandal (Associate), and Unnati Khanna (Associate).
The team was further assisted by Bhavik Narsana (Partner) on transaction structuring, Deepak Kumar (Partner) and Sidheshwar Sahoo (Associate) on employment and labour due diligence, Adheesh Nargolkar (Partner), Abhishek Kumar (Principal Associate), and Sunaina Brahma (Principal Associate) on intellectual property due diligence, Mayank Jain (Partner), Pranay Sahay (Principal Associate), and Mihir Gupte (Senior Associate) on Software Technology Parks of India due diligence, and Supratim Chakraborty (Partner) on data privacy.
