Khaitan & Co Advised SoftBank Vision Fund On The Reverse Flip Of Meesho Inc. To India
Khaitan & Co advised SoftBank Vision Fund in connection with the redomiciling of Meesho Inc., a Delaware-incorporated entity, to India. The reverse flip was implemented through a merger of Meesho Inc. into and with Meesho India via the National Company Law Tribunal (NCLT) route, marking a significant move in Meesho’s strategic realignment ahead of its anticipated public listing in India.
The Firm’s role included:
- Advising on the regulatory aspects in relation to redomiciling to India
- Review, negotiation and finalization of the composite scheme of merger and demerger
- Review, negotiation and finalisation of the transaction documents, including the shareholders’ agreement for the Indian entity
- Assisting with execution and closing of the transaction
The Khaitan & Co transaction was led by Bharat Anand (Senior Partner), with key support from Nidhi Killawala (Partner), Ishaan Chopra (Senior Associate), and Sakshi Garg (Associate). Pranjal Prateek (Partner) advised on competition law aspects of the transaction.
