Khaitan & Co advised Stakeboat Capital Fund II, Abakkus Four2Eight Opportunities Fund, S.R Foundation, and D S Chewing Products LLP (Investors) in relation to their investment in Botanic Healthcare Private Limited (Botanic Healthcare).
The investment was undertaken by way of subscription to Series A CCPS for an aggregate amount of INR 165 Crores. Additionally, the Investors acquired shares from one of the Promoters of Botanic Healthcare for an aggregate amount of INR 85 Crores. The proceeds from both the primary and secondary investments were utilized by Botanic Healthcare to acquire Botanic Healthcare LLC, Botanic Healthcare (NZ) Limited, and their respective subsidiaries. These subsidiaries were the entities in which both the Promoters of Botanic Healthcare held stakes.
Khaitan & Co provided transaction advisory to the Investors and conducted a legal due diligence on Botanic Healthcare and its wholly owned subsidiary Botanic Supplements Private Limited. Khaitan & Co also provided assistance with respect to Botanic Healthcare’s acquisition of Botanic Healthcare LLC, Botanic Healthcare (NZ) Limited and their respective subsidiaries.
