Khaitan & Co Advised Texmaco Rail And Engineering Ltd. On Acquisition Of 51% Shares Of Saira Asia Interiors Pvt. Ltd.
Khaitan & Co advised Texmaco Rail and Engineering Limited (Texmaco) on the acquisition of 51% shares of Saira Asia Interiors Private Limited from its existing shareholder, Emobility Design and Innovation Private Limited (Seller).
Following the transaction's closure, Saira will operate as a subsidiary and a joint venture under Texmaco.
The core transaction team at Khaitan & Co advising on the transaction included Shourya Sengupta (Partner), Vibhav Seth (Senior Associate), Shramana Dwibedi (Senior Associate), Karishma Sethia (Associate), Joysurjo Roy (Associate), and Unnati Khanna (Associate).
Intellectual Property aspects were handled by Shailendra Bhandare (Partner), Sourav Dan (Principal Associate), and Vaishali Adhikari (Associate).
Khaitan & Co acted as transaction counsel to Texmaco, handling the following responsibilities:
- Conducting a legal due diligence exercise on Saira Asia Interiors Private Limited;
- Drafting, negotiating, finalizing, and executing the transaction documents; and
- Assisting and advising on all execution, pre-completion, and completion related formalities.
