Khaitan & Co advised Nexusmalls Whitefield on proposed acquisition of Super Diamond Enterprises
The leading law firm in India, Khaitan & Co advised Nexusmalls Whitefield Private Limited, an affiliate of Blackstone Inc. and an SPV of Nexus Select Trust, on its proposed acquisition of Super Diamond Enterprises, India. The transaction is being undertaken post restructuring and hiving off of unrelated businesses. Super Diamond Enterprises owns and operates ‘Diamond Plaza’, a prominent mall located in Kolkata.
The transaction involved complex structuring aspects, including conversion of a partnership firm into a private limited company, carve-out of non-transaction assets, and multiple commercial structuring considerations. Khaitan & Co also conducted comprehensive legal due diligence on the target, covering title, land use, regulatory approvals and leasing arrangements, while advising on risk mitigation and handling the drafting, negotiation and execution of transaction documents.
