The leading law firm based in India, Lakshmikumaran & Sridharan Attorneys, advised NU Hospitals Private Limited, its promoters, and certain non-promoter selling shareholders in connection with a significant minority investment by Somerset Indus Capital Partners, a healthcare-focused private equity firm.
The transaction comprised both primary and secondary components, resulting in Somerset Indus Capital Partners acquiring a minority stake in NU Hospitals, a Bengaluru-headquartered leading super-specialty healthcare group recognised for its expertise in nephrology, urology, fertility/IVF, and renal transplant care.
Lakshmikumaran & Sridharan Attorneys provided comprehensive, end-to-end legal support on the transaction, advising NU Hospitals, its promoters, and select selling shareholders on all aspects of the deal. Leveraging its strong healthcare and private equity expertise, the firm structured and navigated the simultaneous primary and secondary investment components, ensuring optimal outcomes for all stakeholders.
The firm’s role covered deal structuring, negotiation, and finalisation of transaction documentation, including the share subscription and purchase agreements and the shareholders’ agreement, as well as coordination of closing formalities.
