Luthra & Luthra, an Indian law firm acted for and advised Huron Consulting Group Inc., a global management consulting company offering services in the Healthcare, Education, Life Sciences, Law, and Finance industries, as a part of Huron’s global sale of its wholly owned Indian subsidiary - Huron India Private Limited ("Huron India") in legal services segment to Consilio Inc. and its affiliates, worth US$ 112 million.
The deal also includes the sale of Huron’s stake in nine other entities in four other jurisdictions spread across the US and Europe.
With this, globally, Consilio has turned into one of the giant providers of eDiscovery, document review and legal consulting services.
The firm review the global Purchase Agreement from an Indian law perspective, advising Huron on various Indian law matters (including from Indian company law, exchange control, direct tax, real estate, competition law, labour law, and stamp law perspectives), including in relation to post closing purchase consideration adjustments, pay down of cross border intercompany payables, reverse carve-out of employees from Huron India to an affiliate. Also, the firm continues to assist Huron on post-closing related matters.
The core transaction team comprised Vikrant Kumar (Partner) and Naren BS (Associate), who was supported by Lokesh Shah (Partner), Aditi Goyal (Senior Associate) on direct tax aspects, Vaibhav Suri (Managing Associate) and Himanshu Luthra (Associate) on real estate matters.
