Luthra & Luthra Law Offices acted as counsel to RBL Bank Limited on its initial public offer of equity shares. The offering included a fresh issuance of equity shares by the bank, as well as an offer for sale by certain existing shareholders of the Bank. The book running lead managers were Kotak, Axis, Citigroup, Morgan Stanley, HDFC Bank, ICICI Securities, IDFC Securities, IIFL and SBI Capital Markets.
The transaction is one of the first by a private sector bank in India in a decade, and with a size of approximately Rs 12,130 million, is one of the largest IPOs in the banking sector in India.
The transaction team from L&L consisted of Partner Manan Lahoty, along with Managing Associate Manshoor Nazki, Senior Associate Rohan Sahai and Associates Varsha Srinivasan and Sampada Bannurmath.
Other firms involved in the transaction were Dorsey & Whitney LLP, international legal counsel to the book running lead managers, AZB & Partners, legal counsel to the book running lead managers as to Indian law and Khaitan & Co., legal counsel to certain selling shareholders.
