RGM Legal advised Cognaize Systems on its seed funding round
The full-service Indian law firm, RGM Legal advised Cognaize Systems Private Limited on the successful completion of its seed funding round, raising an undisclosed amount from a group of High-Net-Worth Individuals (HNIs). Panini Advisors acted as the exclusive financial advisor to Cognaize Systems Private Limited on the transaction.
Cognaize Systems Private Limited is a manufacturing intelligence software company that develops engineering intelligence solutions using artificial intelligence to encode the judgment of experienced engineers and deploy it at scale across manufacturing processes. The platform spans design intelligence, manufacturing intelligence, and factory operations intelligence, enabling automated drawing reviews, cost estimation, and production monitoring across multiple manufacturing processes.
The company is currently engaged with over 20 customers across various stages, including pilots, implementation, and full commercial deployment, across automotive component manufacturers, industrial suppliers, and engineering companies in India. The funds raised will be utilised to accelerate product development, expand market reach across industrial manufacturing sectors in India, and strengthen its global go-to-market strategy, including opportunities in the Middle East and North America.
RGM Legal advised on various aspects of the transaction, including:
- a. Structuring the deal transaction;
- b. Drafting the shareholders’ agreement;
- c. Drafting the employment agreement;
- d. Advising on inter-se transferability of shares amongst the leadership team;
- e. Drafting terms of preference shares; and
- f. Reviewing and commenting on the risk factors of the PAS-4 private placement offer document.
