Shardul Amarchand Mangaldas advised Lemon Tree Hotels on composite scheme of arrangement
The leading law firm in India, Shardul Amarchand Mangaldas & Co. (“SAM”) acted as legal counsel to Lemon Tree Hotels Limited and its subsidiary Fleur Hotels Limited (“Fleur”) on a composite scheme of arrangement (“Scheme”) involving multiple entities from the Lemon Tree group and their respective shareholders and creditors, for the reorganisation of their hospitality business.
The proposed transaction involves amalgamation of 6 (six) subsidiaries of Lemon Tree Hotels, a demerger of select hotel assets and development capabilities, and the creation of a separately listed hospitality asset platform in Fleur, through the Scheme.
The transaction is subject to applicable regulatory approvals and the approval of the National Company Law Tribunal (NCLT).
The SAM transaction team was led by Prashant Gupta (Partner, Head – Capital Markets) and Devesh Pandey (Partner), along with Anushka Ganguli (Associate) and Sourav Paul (Associate).
Competition law aspects were handled by Rohan Arora (Partner), Rahul Shukla (Principal Associate), and Aryan Uppal (Associate).
NCLT aspects were led by Anirudh Das (Partner).
