Shardul Amarchand Mangaldas Advised Main Capital Partners and BizzDesign on Acquisition of Alfabet Business Assets in India
The leading law firm in India, Shardul Amarchand Mangaldas & Co. (SAM) advised Main Capital Partners and its portfolio company, BizzDesign, on Indian law aspects for the acquisition of business assets relating to the Alfabet Business in India from subsidiaries of Software GmbH (formerly Software AG) (“SAG”).
This forms part of BizzDesign’s global acquisition of the Alfabet software business, a market leader in Enterprise Architecture (EA) and Strategic Portfolio Management (SPM), from SAG. The transaction involved the acquisition of business assets of the Alfabet business in India from Software AG Bangalore Technologies Private Limited, Software AG Chennai Development Centre India Private Limited and Software AG India Sales Private Limited, subsidiaries of Software GmbH (formerly Software AG) (“Transaction”). The acquisition was undertaken through Alfit Private Limited (“Alfit India”), the India subsidiary of BizzDesign.
SAM’s role in the transaction included:
- (a) Conducting limited due diligence on the Indian subsidiaries of SAG.
- (b) Advising on the structure of the transaction to ensure compliance and operational efficiency.
- (c) Incorporation of Alfit India, including post-incorporation compliance and fund infusion via a rights issue.
- (d) Reviewing, negotiating, and finalizing all India-specific transaction documents related to the acquisition.
- (e) Advising on the process of employee transfers from SAG India subsidiaries to Alfit India.
The SAM transaction team was led by Danish Kazi (Partner) and Dipayan Bhattacherjee (Partner), supported by Vishu Surana, Adwaita Bhattacharyya, Abhigya Singh, and Sriroopa Neogi (Associates).
The SAM diligence team was led by Sakshi Mehra (Partner) and Dipayan Bhattacherjee (Partner), with support from Vishu Surana, Adwaita Bhattacharyya, Abhigya Singh, Sriroopa Neogi, Anshika Chadha, and Dhwani Baxi (Associates).
The Tax team included Rahul Yadav (Partner), Nimish Malpani (Principal Associate), Ritvij Tiwari, and Tushar Kumar (Associates).
The Employment team was led by Pooja Ramchandani (Partner), with support from Suryansh Gupta (Principal Associate) and Sanskriti Nigam (Associate).
Other Advisors: McDermott Will & Schulte acted as global legal counsel to Main Capital Partners, Clifford Chance acted as global legal counsel to Software GmbH, and AZB & Partners advised Software GmbH on Indian law aspects.
