Shardul Amarchand Mangaldas & Co. advised Aica Kogyo Company, Limited on its USD 225 million acquisition of a controlling stake in Stylam Industries Limited
The leading law firm in India, Shardul Amarchand Mangaldas & Co. (“SAM”) advised Aica Kogyo Company, Limited (Japan) (“Aica”) on its approximately USD 225 million acquisition of a controlling stake of up to 53.12% in Stylam Industries Limited (“Stylam”). The transaction involved secondary purchases from existing promoters and a mandatory open offer to the public shareholders of Stylam under the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations.
SAM advised Aica on structuring the transaction, analysing regulatory matters under securities laws, assessing implications under foreign exchange regulations, conducting legal due diligence, and drafting, negotiating, and finalising the transaction documents and open offer documentation. The firm also assisted with coordination among the manager to the open offer and other advisors, including offshore counsel and tax advisors.
