Shardul Amarchand Mangaldas & Co. advised JTRF on railway wheel and axle production line agreements
The leading law firm in India, Shardul Amarchand Mangaldas & Co. (SAM), advised Jupiter Tatravagonka Railwheel Factory Private Limited (JTRF) on two separate sets of agreements:
- With MAG IAS GmbH (MAG Germany) and MAG IAS India Pvt. Ltd. (MAG India) for the supply, erection, and commissioning of state-of-the-art production lines for railway wagon axles.
- With Honor Seiki Co., Ltd. (Honor Seiki) for the supply, erection, and commissioning of state-of-the-art production lines for railway wagon wheels.
The transactions involved a multi-jurisdictional contracting framework, with MAG Germany and MAG India (part of the Fair Friend Group) supplying and commissioning the axle line, and Honor Seiki supplying and commissioning the wheel line. The deal was structured through a series of supply and service agreements designed to streamline the procurement and commissioning process across India, Germany, and Taiwan.
Shardul Amarchand Mangaldas & Co. acted as legal counsel to JTRF, advising on the transaction structure, drafting and negotiation of the supply and service agreements, and coordinating closing formalities across multiple jurisdictions.
