The transaction was structured as a share swap, pursuant to which TCC Concept Limited acquired 98.98% shareholding of Pepperfry from its existing shareholders, including Norwest Venture Partners.
The deal involved a complex cross-border share swap between a resident listed entity and multiple resident and non-resident sellers, requiring careful structuring and regulatory compliance.
