Trilegal advised Capital Infra Trust on its QIP and preferential issue
The Leading law firm in India,Trilegal acted as legal counsel to Capital Infra Trust (“Trust”) and the lead managers in relation to the qualified institutions placement by the Trust aggregating to ₹12,500 million, through the issuance of 172,890,733 units at ₹72.30 per unit (including a discount of 4.42% on the floor price) (“QIP”).
Trilegal also advised on the preferential issue by the Trust aggregating to ₹3,450.06 million, through the issuance of 43,261,000 units to Gawar Construction Limited (Sponsor) at a price of ₹79.75 per unit (“Preferential Issue”).
The proceeds of the QIP are proposed to be utilised for funding the acquisition of three target SPVs from the Sponsor and for providing shareholder loans to the target SPVs for the repayment or prepayment of subordinated debt and unsecured loans availed by such SPVs.
The lead managers to the QIP were SBI Capital Markets Limited, HDFC Bank Limited, and Motilal Oswal Investment Advisors Limited.
