Trilegal advised Olam on Sale of Entire Shareholding in Mindsprint for USD 375 Million
The leading law firm in India, Trilegal acted as lead sell-side counsel for Olam Group Limited in the sale of its entire (100%) shareholding in Mindsprint Pte. Ltd. (“Mindsprint”) to Wipro Networks Pte. Ltd., a subsidiary of Wipro Limited.
Trilegal acted as lead transaction counsel, advising on negotiating and finalising the Share Purchase Agreement and all ancillary transaction documents.
Mindsprint provides technology, cybersecurity, and digital solutions, employing over 3,200 staff and serving multiple clients across food and agri-business, manufacturing, retail and CPG, and healthcare and life-sciences sectors, including large enterprise accounts in the US, Asia Pacific, and Middle East.
Trilegal also assisted Olam Group in awarding an eight-year strategic transformation deal to Wipro, with a committed annual spend of USD 100 million. Under this agreement, Wipro will deliver end-to-end transformation services to Olam through a consulting-led and AI-powered approach, leveraging industry expertise, technology partnerships, and Wipro Intelligence, its unified suite of AI-powered platforms and solutions.
The Trilegal team advising on the transaction was led by Abhishek Guha (Partner), with support from Mahesh Wasadikar (Partner), Pavana Padmakumar (Senior Associate), and Samraddhi Shetty (Senior Associate).
