Freshfields Advised McLaren And Mumtalakat On Acquisition Of All Shares In McLaren Racing Held By Minority Shareholders
Freshfields advised McLaren and Mumtalakat on acquisition of all shares in McLaren Racing held by minority shareholders
The global law firm, Freshfields, has advised McLaren and its major shareholder Bahrain Mumtalakat Holding Company, the sovereign wealth fund of the Kingdom of Bahrain, in connection with McLaren’s acquisition of all shares in McLaren Racing previously held by MSP Sports Capital, funds managed by O’Connor Capital Solutions, Ares Sports, Media and Entertainment funds, and Caspian Funds.
McLaren Racing is home to the McLaren Formula 1, IndyCar, and from 2027 onwards, the World Endurance Championship team.
The transaction will enable Mumtalakat and CYVN Holdings LLC, an advanced mobility operator and investment vehicle based in Abu Dhabi, to increase their shareholding and assume full ownership of the iconic British motor racing business. Mumtalakat will remain the majority shareholder of McLaren, with CYVN Holdings owning a non-controlling stake.
The Freshfields team was led by Rhys Evans (Partner) and Damien Zoubek (Partner, Co-Head of US Corporate and M&A), supported by Max Sanders (Senior Associate) and Jack Robb (Associate). Antitrust advice was led by Tom McGrath (Partner), and Tax advice was led by Paul Davison (Partner).
