King & Spalding advised Al Shmoul Al Moutamiaza Holding Company on acquisition of minority stake in RAM Medical Clinics
The global law firm, King & Spalding Al Fahad Law Firm advised Al Shmoul Al Moutamiaza Holding Company (Al Shmoul Holding), the investment arm of the Al Nahdi Family Group, on its acquisition of a minority stake in RAM Medical Clinics Company (RAM Clinics).
Established in November 2022, Al Shmoul Holding focuses on strategic investments across technology, healthcare, and luxury sectors, with a particular emphasis on pre-IPO stage companies. The transaction marks another significant step in its growing healthcare investment portfolio.
RAM Clinics is a leading provider of dental, dermatology, and outpatient medical services in Saudi Arabia. Founded in 2006 and headquartered in Al Khobar, the company operates a nationwide platform delivering high-quality care through a network of 33 clinics and 14 pharmacies. RAM Clinics employs more than 600 physicians across dental and dermatology specialties, including over 225 Saudi doctors, and offers a comprehensive range of services such as general and aesthetic dentistry, dermatology, laser and aesthetic treatments, and outpatient medical care.
The investment represents a key milestone in RAM Clinics’ growth strategy and highlights continued investor confidence in the strength and long-term potential of Saudi Arabia’s expanding healthcare sector.
King & Spalding provided comprehensive legal support to Al Shmoul Holding throughout the transaction, including advice on structuring, due diligence, and definitive transaction documentation.
The King & Spalding team was led by Martin Hunt (Riyadh) and Saud Aldawsari (Riyadh), with support from Nabil Issa (Dubai).
