Simpson Thacher Advised Underwriters and Lenders on Voyager Technologies’ $440 Million IPO and $200 Million Credit Facility
Simpson Thacher & Bartlett LLP advised the underwriters, led by Morgan Stanley & Co. LLC and J.P. Morgan Securities LLC, in connection with the initial public offering of Voyager Technologies, Inc. (“Voyager”). The offering involved 14,200,645 shares of Voyager’s Class A common stock, inclusive of the full exercise of the underwriters’ option to purchase additional shares, and raised approximately $440 million in gross proceeds. Voyager’s shares are now listed on the New York Stock Exchange under the ticker symbol “VOYG.” The IPO closed on June 12, 2025.
Simpson Thacher also represented JPMorgan Chase Bank, N.A. and other arrangers in relation to Voyager’s $200 million senior secured revolving credit agreement, which closed on May 30, 2025.
Voyager is a defense and space technology company focused on delivering transformative, mission-critical solutions to bolster national security and advance technological innovation from ground to space.
